Executive Board Meeting Minutes

Minutes of the Oct 23, 2025 meeting were reviewed. An incorrect date was noted and corrected. Thereafter, the minutes were approved.
Minutes of an email meeting on Dec. 26, 2025 were reviewed. These minutes were approved as presented.
Treasurer’s Report: Karen Sirnick
It was reported that as of April 30, 2026 revenues $2899.39, Expenses $4419.10, giving a deficit of $1519.71. The budget for 2026 projects revenues $6050, expenses $7593, giving a deficit $1543. It was pointed out that the revenues from banquet ticket sales and membership dues are out of synch making the report a bit difficult to interpret but deficits are projected. Since the beginning of the year we have had only 2 ½ new members, Program expenses, and Insurance costs are going up. The issue of Life Members and dues revenue were discussed and it was suggested that the Life Members could be asked to pay dues as a contribution to the club. It currently takes dues from 21 members to pay just for the insurance. The club has been running deficits for the last several years.
The Treasurer’s Report was approved as submitted.
Old Business:
The revised Bylaws have not yet been approved by membership due to lack of quorum. There was a discussion about items that were not in the Bylaws but would be added under a separate Policies and Procedures. Changes to the Digital and Print contest need to be reviewed and edited as needed for approval. Linda Tranter will be point person for this and all Board Members were asked to provide input as well. Changes to the Point System was made and needs to be reviewed. Peter Fitzpatrick volunteered to do this.
It was again discussed that our Social Media presence is poor and that we need to find a member who is capable and willing to take on the task. Linda Tranter volunteered to manage the public Facebook page but will need administrative access. Jim Angelo will obtain that from the current Social Media chair. Rebecca Janssen related that in the past the Club got a booth at the Home and Patio show, for free, to showcase the Club and it was successful in getting new members. It was noted that volunteers to man the booth would be needed and some flyers would need to be made up. Rebecca will look into whether or not a free booth might be available for the upcoming show.

New Business:
Rules regarding the Nature category in the Print Competition. The Club is a member of PSA and follows PSA guidelines for that category. One member has expressed concerns that the guidelines are too strict for nonprofessional photographers and that they have not been strictly followed in past competitions. It was pointed out that the Club is responsible for determining if a print fits the category, not the judge, but the judge is free to downgrade score if it is felt that the print is not adhering to guidelines. It was noted that an image should be assessed on what is seen in the photograph and not on any knowledge of the photographer and how the photograph was captured. A motion was made to get input from club photographers who have had a lot of success and experience in the Nature category to get their suggestions. Motion made by Tina Jordan, seconded by Linda Tranter. Passed.
Issues regarding formal organization of the Club. Rebecca Janssen did extensive research and discovered that the Club was incorporated as a 501(c)7 nonprofit in January 2020. The circumstances were unusual in that the Club member who handled the incorporation did not inform the Board that it had been done and then left the Club. Hence, the Club has not filed the required annual reports and the incorporation underwent administrative dissolution in Sept 2021 and the IRS revoked the 501(c)7 nonprofit status. To reinstate the incorporation a form would need to be filed with the Florida Dept of State and the missed annual reports filed. An IRS form 990 would need to be filed to “self exempt” as a 501(c)7 nonprofit (social/hobby club). Peter Fitzpatrick made a motion that the Club investigate reincorporation and that the secretary and treasurer pursue the information on how to proceed as well as how incorporating might impact our liability insurance coverage. A timeline of 4 weeks was agreed upon. Also, legal advice might be needed; Rebecca Janssen will look into lawyer options. Motion seconded by Rebecca Janssen. Passed.
