Executive Board Meeting Minutes

Secretary’s Report: Peter Fitzpatrick
Minutes of the Aug 28, 2025 meeting were reviewed. An error in the membership of the Bylaws Review/Revise Committee was noted and corrected. Thereafter, the minutes were approved.
Treasurer’s Report: Karen Sirnick
It was reported that as of 9/30/2025, the Club balance sheet showed Revenue of $4,016.03 and Expenses of $6,922.81, giving a negative balance of $2,906.78. Vystar Checking and Savings totaled $10,194.78. This is made up of $1774.79 in Checking, $7753.88 in a CD, $510.25 in Savings, and $155.38 in Petty Cash.
The Treasurer reported that there were only 7 new so the Club should expect less income from dues and also less interest income.
The Treasurer’s Report was approved as submitted.
Old Business:
Review/Revise Bylaws: Young McQueen was in attendance representing the Bylaws ad hoc committee to present the Final Draft. The document was reviewed in detail. Some sections generated discussion. The category of Life Members will no longer be available to new members after December 31, 2024. Members in good standing on Deember 31, 2025 will be eligible to participate. The category of Associate Member was also discussed and intent clarified. Another change noted was the dues will beset by the Board and not subject to general membership vote. An item that generated much discussion was term limits. The change would be that the positions of secretary and treasurer would be term limited, currently they are not. It is proposed that all elected positions be limited to two one-year terms within any five-year period. If a suitable candidate cannot be found to fill any position an exception could be made to extend a term under the provisions of Article XVI. Tina Jordan made a motion that the secretary and treasurer be allowed three one-year terms. The motion failed to get a second. One change that was suggested was that under proposed Article Xb that the secretary record and maintain records of the general meetings and executive board meetings but not of any committee meeting. A motion to accept the bylaws with changes as noted was made by Peter Fitzpatrick and seconded by Anita Fanic. The motion was passed.
In other old business, the fee for the Annual Banquet was set at $65.
Open Committee Chairs for 2026: Print, Membership, Outings, Education, Property Manager. Peter Fitzpatrick volunteered to be Print Chair if there would be assistance for entering images into the website. There is a possible candidate for Membership Chair but that was unverified.
It was again discussed that our Social Media presence is poor and that we need to find a member who is capable and willing to take on the task. With a more robust social media presence we could consider offering workshops and outings to nonmembers for a fee to help with revenue.

Peter Fitzpatrick, Chair of the Nominating Committee, presented the slate of candidates for 2026. They are: President Jim Angelo, Vice President Anita Fanic, treasurer Karen Sirnick, secretary Peter Fitzpatrick, director Tina Jordan, director Rebecca Janssen, director Linda Tranter.
